    Delaware Secretary of State will be closed two days next week.  On Tuesday, November 8th, 2022, they’ll close for Election Day and on Friday, November 11th, 2022, they’ll close in observance of Veterans Day.  CT Wilmington will be open as normal (8:00am – 12:00am ET on Tuesday and 8:00am – 10:30pm ET on Friday). 

    Two state closures in one week is not a common occurrence.  We expect that this will create delays in processing filings all week as they work to catch up from these closures. 

    Key Points to Know:

     For the closure on Tuesday, November 8th, 2022 (Election Day):

    Corporate

    1. We will NOT be able to obtain the file date of November 8th, 2022 unless prior arrangements have been made.  If your customer requires this file date, the following steps must be completed:
      1. CT Wilmington must have the document in hand on Monday, November 7th, with instructions to obtain a filing date of November 8th, 2022.
      2. The State of Delaware will process the document the following business day (Wednesday, November 9th, 2022) and provide evidence prior to the close of business.
      3. The State of Delaware will charge the Global Filing Service ($2,500.00) expedite fee in addition to all customary disbursements for this transaction.
    2. November 8th, 2022 can be used as a future effective date.
    1. Filing evidence will not be received on November 8th.  
    2. Good Standings, Cert Res, Certified Copies, and Plain Copies are available as usual.
    3. We will have the ability to reserve names, pay franchise tax, and obtain blank annual reports.
    4. Customers can continue to file Delaware annual reports through CTA.com.

    UCC

    • UCC Filings CANNOT obtain the November 8th, 2022 file date UNLESS they are filed via XML.
    • Filing evidence will NOT be received on November 8th.
    • UCC Searches, document retrievals, corporate plain/certified copies, and good standings will not be affected by the closure and will be processed throughout the day.
    • XML and WEB filing will be available as usual.


     For the closure on Friday, November 11th, 2022 (Veterans Day):

    Corporate

    The Delaware State Courts will be closed on Monday, September 5, 2022 for Labor Day.

    Justice of the Peace Courts 11 (New Castle County), 7 (Kent County) and 3 (Sussex County) will remain open.
